1. Services Overview

Telosys Solutions provides AI consulting services for e-commerce owners and content creators. Our services include, but are not limited to:

  • AI employee deployment (e.g., Email Inbox Manager, Morning Debrief Agent)
  • AI workflow design and automation consulting
  • Success Sessions and strategy consultations
  • Ongoing AI system management and optimization

The specific scope, deliverables, and pricing of services will be outlined in a separate service agreement or statement of work agreed upon by both parties.

2. Eligibility

By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Success Sessions & Consultations

Success Sessions are complimentary consultations designed to assess your business needs and demonstrate the value of our AI employee solutions. By booking a Success Session:

  • You agree to provide accurate information about your business and needs
  • You understand that the session is a consultation, not a guarantee of specific results
  • Scheduling is managed through our third-party scheduling platform (Calendly) and is subject to availability
  • Cancellation or rescheduling should be done at least 24 hours in advance

4. Client Responsibilities

When engaging our AI consulting services, you agree to:

  • Provide timely access to necessary accounts, tools, and platforms required for AI employee deployment
  • Ensure that all data shared with us is lawfully collected and that you have the right to share it
  • Review and approve AI-generated drafts and outputs before they are sent or acted upon
  • Maintain responsibility for all final business decisions, especially those flagged by AI employees as requiring human judgement (e.g., acquisition offers)
  • Communicate any issues, concerns, or changes to requirements in a timely manner

5. Intellectual Property

Our Intellectual Property

All content on our website, including text, graphics, logos, design elements, and software, is the property of Telosys Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

Your Data

You retain full ownership of your business data, content, and any information processed through our AI employee services. We do not claim any ownership rights over your data.

Custom AI Systems

Unless otherwise agreed upon in a service agreement, the AI systems, workflows, and configurations we build for your business are licensed for your use. The underlying methodologies, frameworks, and proprietary tools remain the intellectual property of Telosys Solutions.

6. Payment Terms

Payment terms, pricing, and billing schedules will be outlined in your individual service agreement. General payment terms include:

  • Payment is due as specified in the service agreement
  • Late payments may result in suspension of services
  • All fees are non-refundable unless otherwise stated in the service agreement
  • We reserve the right to adjust pricing with reasonable notice for ongoing services

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial information, customer data, and technical specifications. Confidentiality obligations survive the termination of the service agreement.

8. Disclaimers & Limitations of Liability

No Guarantee of Results

While we strive to deliver high-quality AI solutions, we do not guarantee specific business outcomes, revenue increases, or time savings. Results depend on various factors including your business model, implementation, and market conditions.

AI Limitations

AI employees are tools designed to assist, not replace, human judgement. AI-generated content, classifications, and recommendations may contain errors. You are responsible for reviewing and approving all AI outputs before they are used in your business operations.

Limitation of Liability

To the maximum extent permitted by law, Telosys Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services.

Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9. Termination

Either party may terminate the service relationship as specified in the service agreement. Upon termination:

  • All outstanding payments become immediately due
  • We will provide reasonable assistance in transitioning AI systems, if applicable
  • Your data will be returned or securely deleted upon request
  • Confidentiality obligations continue to apply after termination

10. Indemnification

You agree to indemnify and hold harmless Telosys Solutions, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Telosys Solutions operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or in the courts of the applicable jurisdiction.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to our website with an updated effective date. Your continued use of our services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
